Debt Capital Markets Attorney Canada

We are seeking a Debt Capital Markets Counsel to join our Corporate and Securities team. This role centres on bond issuances, capital-raising transactions, and covenant structuring, with a focus on high-yield and international debt offerings.

Requirements

• Drafting, reviewing, and negotiating bond offering documents, indentures, debentures, offering memoranda, and related covenant packages.
• Providing legal guidance on Canadian securities law and SEC regulations governing bond issuances, capital-raising strategies, and covenant structuring.
• Collaborating with issuers, underwriters, internal finance teams, and external counsel on high-yield, investment-grade, and cross-border debt capital markets transactions.
• Managing securities law, disclosure, and covenant compliance issues for clients in corporate and financial institution sectors.
• Staying ahead of debt capital markets trends and regulatory developments under the Securities Act of 1933 to provide proactive, business-oriented counsel.
