Corporate Paralegal

We are seeking a detail-oriented and proactive Corporate Paralegal to join our team and support our dynamic Corporate Transactions Practice Group. The ideal candidate will have a strong foundation in business entity formations and familiarity with filings specific to the Florida Division of Corporations, with the ability to manage documentation and workflow related to corporate transactions.

Requirements

• Prepare and file entity formation and qualification documents with the Florida Division of Corporations and other state agencies.
• Maintain and organize corporate records, minute books, and cap tables.
• Support the legal team in all phases of Mergers & Acquisitions transactions, including due diligence, closing checklists, and post-closing documentation.
• Draft and maintain corporate governance documents such as resolutions, bylaws, and operating agreements.
• Conduct UCC searches and prepare UCC filings.
• Track and manage deadlines related to corporate filings, renewals, and compliance calendars.
• Assist in preparing closing binders and maintaining organized transaction files.
• Coordinate with internal and external stakeholders including attorneys, clients, regulatory agencies, and vendors.
