Senior Corporate Counsel

Imprivata is seeking a motivated and detail-oriented Senior Corporate Counsel to join its collaborative legal team. This role is ideal for an attorney who thrives in a complex, high growth environment, looking to be deeply embedded with commercial teams to advance Imprivata's strategic objectives while managing risk.

Requirements

• JD from an ABA-accredited law school and admission to at least one U.S. state bar.
• 6+ years of substantive commercial transactional experience preferably a combination of law firm and in-house experience at a SaaS or technology company.
• Experience drafting and negotiating various software license agreements, partner and reseller agreements, vendor agreements and intercompany agreements.
• Familiarity with privacy and data protection laws, regulations and standards, including GDPR and PIPEDA, US data privacy laws both state and federal (e.g. HIPAA/HITECH and CCPA/CPRA).
• Understanding of ethical AI principles and IP issues arising from AI usage as it relates to commercial agreements.
• Exceptional written, verbal, and interpersonal communication skills with the ability to translate legal concepts for non-lawyers.
