The Associate General Counsel position serves as a trusted advisor to business leaders of Mitsubishi Power Americas, Inc. and its affiliates, with a primary focus on structuring, drafting, reviewing, and negotiating complex Engineering, Procurement, and Construction (EPC) agreements, Equipment Supply Purchase agreements (EPSA) and related commercial transactions. The position may be filled at the Counsel or Senior Counsel level depending on experience and demonstrated skills.
Requirements
- Juris Doctor (JD) from an ABA-accredited law school; active bar membership in good standing or eligibility for in-house counsel status.
- 15+ years of post-qualification legal experience with demonstrable transactional drafting and negotiation skills.
- Experience supporting complex commercial transactions and ability to manage multiple priorities in a fast-paced environment.
- Ability to provide clear, practical advice to business leaders and collaborate across functions to close deals and resolve issues.
- Excellent written and verbal communication skills, including simplifying complex legal concepts.
- Substantial experience with EPC or construction contracting for large-scale power generation, renewable energy, or major infrastructure projects (preferred).
- Experience with claims management, dispute resolution, arbitration/litigation strategy, and coordination with insurers and outside counsel (preferred).
- Familiarity with project finance, joint ventures, supply chain risk, export/import controls, and insurance requirements.
- Fluency in Spanish and/or Japanese preferred; foreign jurisdiction qualifications a plus.
- Comfort working across international time zones and multicultural environments.
- Proficiency with database, project management, spreadsheet, and word processing software.
- Must be able to travel domestically as well as internationally.
