We are seeking a highly skilled and motivated Company Secretary (CS) to join our team. The ideal candidate will have an in-depth understanding of corporate laws and governance, particularly under the Companies Act, and possess the experience to ensure comprehensive secretarial compliance.
Requirements
- Expertise in the provisions of the Companies Act, 2013/1956.
- Preparation of secretarial compliance for group companies (Private Limited & LLPs).
- Drafting notices, minutes of meetings, and other relevant documents.
- Practical knowledge of conducting Board Meetings, Committee Meetings, AGMs, EGMs, Postal Ballots, and virtual AGMs via VC.
- Experience representing the company before Civil Courts, Criminal Courts, IPAB, NCLT, High Courts, government bodies, banks, and semi-government bodies.
- Expertise in drafting and vetting agreements, legal letters, and contracts such as Bank Guarantees, Letters of Credit, MOUs, JV agreements, NDAs, distributorship agreements, tender documents, and other legal instruments.
- Assisting the Advocate with the preparation of legal notices and commercial suits.
- Practical and legal knowledge of trademarks, patents, designs, and related laws.
- Proficient in liaising with banks, financial institutions, corporate entities, government, and semi-government bodies.
- Familiarity with LLP regulations and basic SEZ laws.
- Handling RBI compliance related to Wholly Owned Subsidiaries (WOS) in India and outside India.
- Experience with the listing process and IPO preparation will be considered an added advantage.
- Ability to understand and apply government policies related to startups, MSMEs, and other relevant sectors.
- Strong communication skills, with the ability to persuade and effectively manage multiple stakeholders.
- A positive attitude, with a proactive approach to work and problem-solving.
- Overseeing the company’s Corporate Social Responsibility (CSR) projects.
- Strong drafting, negotiation, and communication skills.
